Legal terms governing the use of the Roamer platform

By using Roamer, you agree to these terms. Please read them carefully.

1. About Roamer

Roamer operates a B2B travel booking platform that provides software-as-a-service (SaaS) solutions for sports and adventure tour operators. Our platform enables registered business users ("Operators") to create, manage, and sell sports tour packages and adventure experiences to their customers ("End Users").

Service Overview

The Roamer platform allows Operators to:
  • Create and configure tour packages, experiences, and related services
  • Manage inventory, capacity, and booking availability
  • Process customer bookings and payments through integrated payment systems
  • Manage customer communications and booking confirmations
  • Access reporting and analytics tools

2. Acceptance of Terms

By accessing or using the Roamer platform, you agree to be bound by these Terms & Conditions. If you do not agree to these terms, you may not use our services.

3. User Accounts & Registration

Operator Accounts

  • You must provide accurate, complete information during registration
  • You are responsible for maintaining the security of your account credentials
  • You must notify us immediately of any unauthorized use of your account
  • You must be a legitimate business entity offering sports tour or adventure services

Account Verification

We reserve the right to verify your business credentials and may request additional documentation before activating your account.

4. Platform Services

For Operators

  • Access to booking management tools and dashboard
  • Payment processing services
  • Customer communication tools
  • Inventory and capacity management
  • Basic customer support

Service Availability

While we strive for 99.9% uptime, we do not guarantee uninterrupted service and are not liable for temporary service disruptions.

5. Payment Processing & Commission Structure

Commission Model

Roamer processes payments on behalf of Operators and retains a commission fee from each completed booking as compensation for platform services. Current commission rates are:

  • Base rate is 5% of gross booking value for tour packages, subject to agreement
  • Additional payment processing fees apply (typically 2.9% + 30p per transaction)

Payment Processing

  • We use third-party payment processors (including Stripe) to handle transactions
  • Payment processing fees are separate from commission fees
  • All prices must be displayed in the currency specified in your account settings

Payouts to Operators

  • Net proceeds (gross booking value minus commission and processing fees) are paid to Operators
  • Payouts occur weekly via bank transfer every Friday
  • Minimum payout threshold: £50
  • Payouts may be delayed for verification or dispute resolution

Refunds & Cancellations

  • Operators set their own refund and cancellation policies
  • Refunds are processed through the original payment method
  • Commission fees are not refunded on cancelled bookings where Operator retains payment

6. Operator Responsibilities

Tour Operations

  • You are solely responsible for delivering all tour services and experiences
  • You must maintain appropriate insurance coverage for your operations
  • You must comply with all applicable laws, regulations, and safety requirements
  • You are responsible for all customer service and support for your tours

Content & Listings

  • You are responsible for the accuracy of all tour descriptions, pricing, and availability
  • You must not post false, misleading, or fraudulent information
  • You grant us a license to display your content on our platform

Customer Relations

  • You are responsible for all direct communication with your customers
  • You must respond to customer inquiries in a timely manner
  • You handle all customer complaints and disputes related to your services

7. Prohibited Uses

You may not use the platform to:
  • Post false or misleading information
  • Engage in fraudulent activities
  • Violate any applicable laws or regulations
  • Offer services that pose unreasonable safety risks
  • Circumvent our commission structure
  • Use the platform for any illegal activities

8. Intellectual Property

Our Rights

The Roamer platform, including all software, designs, and trademarks, remains our property.

Your Content

You retain ownership of your tour content but grant us a license to display and promote it on our platform.

9. Privacy & Data Protection

We are committed to protecting your privacy and personal data in accordance with applicable data protection laws. Please review our Privacy Policy for detailed information about how we collect, use, and protect your data.

10. Limitation of Liability

Service Disclaimer

The platform is provided "as is" without warranties of any kind. We do not guarantee the accuracy, completeness, or reliability of any content or services.

Liability Limits

To the maximum extent permitted by law:
  • We are not liable for any indirect, incidental, or consequential damages
  • Our total liability is limited to the commission fees paid by you in the 12 months preceding the claim
  • We are not responsible for your tour operations, customer disputes, or service delivery

11. Indemnification

You agree to indemnify and hold harmless Roamer from any claims, damages, or expenses arising from:
  • Your use of the platform
  • Your tour operations and services
  • Your violation of these terms
  • Any disputes with your customers

12. Termination

By You

You may terminate your account at any time by providing 30 days written notice.

By Us

We may terminate or suspend your account immediately if you violate these terms or engage in prohibited activities.

Effect of Termination

  • Outstanding bookings will be honored according to existing terms
  • Final payouts will be processed after any disputes are resolved
  • You must cease using the platform immediately

13. Dispute Resolution

Governing Law

These terms are governed by the laws of England and Wales.

Dispute Process

  1. Initial contact to resolve disputes informally
  2. Mediation if informal resolution fails
  3. Arbitration for unresolved disputes
  4. Court proceedings only for specific legal matters

14. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, government actions, or technical failures.

15. Changes to Terms

We may update these terms at any time. Material changes will be communicated via email or platform notification at least 30 days before taking effect.
